TERMS & Conditions

SCOPE OF AGREEMENT

These general terms and conditions apply to all services and deliveries performed by SnabbPass AB, org. no. [pending registration], hereinafter referred to as 'SnabbPass'. By ordering a service or accepting a quote, the client accepts these terms.

QUOTE & ORDER

All quotes are valid for 30 days from the date of issue unless otherwise stated. An order is considered confirmed when the client has accepted the quote in writing (via email) and any advance payment has been made.

PRICES & PAYMENT

All prices are stated excluding VAT (25%) unless otherwise stated. Invoices are due for payment within 30 days net. In the event of late payment, default interest is charged according to the Interest Act (8 percentage points above the reference rate). Larger projects are invoiced in instalments: 40% at project start, 40% upon delivery of design approval and 20% at final delivery.

DELIVERY TIMES

Estimated delivery times are stated in the quote and assume that the client delivers requested material (texts, images, logotypes) on time. Delays caused by the client's failure to deliver material will extend the delivery time proportionally without SnabbPass being responsible for this.

OWNERSHIP & LICENCE

All material produced by SnabbPass — including design, code and graphics — remains the property of SnabbPass until full payment has been made. Upon full payment, ownership of the delivered project's final result transfers to the client. SnabbPass reserves the right to use the project in its portfolio, on social media and in marketing contexts unless otherwise agreed in writing.

CLIENT RESPONSIBILITY

The client is responsible for ensuring that all material provided (texts, images, brand assets) is free from copyright infringement. The client is obliged to review and approve deliveries within 7 working days. Failure to respond counts as approval.

REVISIONS

Each project phase includes two (2) rounds of revisions. Additional revisions are charged at hourly rate (1,500 SEK/hour). Substantial changes to the project scope after production has started may result in additional costs and extended delivery time.

LIMITATION OF LIABILITY

SnabbPass' liability to the client is limited to the agreed project price. SnabbPass is not responsible for indirect damages, lost profits or damages caused by third-party services (hosting, domain, external APIs). SnabbPass does not guarantee specific search engine results or conversion rates.

FORCE MAJEURE

SnabbPass is relieved of its obligation to fulfil agreements and liability for damages if fulfilment is prevented or substantially impeded by circumstances beyond SnabbPass' control, such as pandemic, natural disaster, strike, government action or operational disruption at a subcontractor.

APPLICABLE LAW & DISPUTES

These terms are governed by Swedish law. Disputes arising from these terms shall primarily be resolved through negotiation. If the parties cannot reach an agreement, the dispute shall be settled by a Swedish general court with the Stockholm District Court as the court of first instance.
