TERMS & Conditions

SCOPE OF AGREEMENT

These general terms and conditions apply to all services and deliveries performed by SnabbPass AB, reg. no. [pending registration], hereinafter referred to as 'SnabbPass'. By placing an order or accepting a quote, the client accepts these terms.

QUOTE & ORDER

All quotes are valid for 30 days from the date of issue unless otherwise stated. An order is considered confirmed when the client has accepted the quote in writing (via email) and any advance payment has been completed.

PRICING & PAYMENT

All prices are stated exclusive of VAT (25%) unless otherwise stated. Invoices are due for payment within 30 days net. Late payment will incur interest in accordance with the Interest Act (8 percentage points above the reference rate). Larger projects are invoiced in instalments: 40% at project start, 40% upon design approval and 20% upon final delivery.

DELIVERY TIMES

Estimated delivery times are stated in the quote and assume that the client delivers requested materials (texts, images, logos) on time. Delays caused by the client's failure to deliver materials will extend the delivery time proportionally without SnabbPass being liable for this.

OWNERSHIP & LICENCE

All material produced by SnabbPass — including design, code and graphics — remains SnabbPass's property until full payment has been made. Upon full payment, ownership of the final result of the delivered project transfers to the client. SnabbPass reserves the right to use the project in its portfolio, on social media and in marketing contexts unless otherwise agreed in writing.

CLIENT RESPONSIBILITIES

The client is responsible for ensuring that all provided materials (texts, images, brand assets) are free from copyright infringement. The client is obliged to review and approve deliveries within 7 working days. Failure to respond will be considered approval.

REVISIONS

Each project phase includes two (2) rounds of revisions. Additional revisions are charged at an hourly rate (1,500 SEK/hour). Material changes to the project scope after production has commenced may result in additional costs and extended delivery time.

LIMITATION OF LIABILITY

SnabbPass's liability to the client is limited to the agreed project price. SnabbPass is not liable for indirect damages, lost profits or damages caused by third-party services (hosting, domain, external APIs). SnabbPass does not guarantee specific search engine results or conversion rates.

FORCE MAJEURE

SnabbPass is released from its obligation to fulfil agreements and liability for damages if fulfilment is prevented or materially impeded by circumstances beyond SnabbPass's control, such as pandemic, natural disaster, strike, government action or disruption at a subcontractor.

APPLICABLE LAW & DISPUTES

These terms are governed by Swedish law. Disputes arising from these terms shall first be resolved through negotiation. If the parties cannot reach an agreement, the dispute shall be decided by a Swedish general court with the Stockholm District Court as the court of first instance.
